Affiliate Agreement

1. Overview

This Affiliate Agreement ("Agreement") governs the relationship between UNYFO, INC. ("Company", "we") and approved affiliates ("Affiliate", "you") who participate in the AI Career Copilot referral program. By participating in the program, you agree to this Agreement in full.

2. Program Structure

  • Approved Affiliates receive a unique referral link tracked via Tolt.
  • When a user signs up through your referral link and becomes a paying subscriber, you earn a commission of $1.00 USD per month for up to 12 consecutive months that the referred user maintains an active paid subscription.
  • Commissions are only earned on active, paying referrals — free-tier signups do not qualify.
  • If a referred user cancels and later resubscribes, the 12-month commission window does not restart.

3. Payment

  • Commissions are processed and paid through Tolt according to Tolt's payout schedule (typically monthly).
  • A minimum payout threshold may apply as set by Tolt.
  • You are responsible for any taxes on commissions you receive.
  • UNYFO, INC. reserves the right to withhold commissions if fraud or policy violations are suspected.

4. FTC Disclosure Requirement (Required)

This is mandatory — non-compliance terminates your participation.

You must clearly and conspicuously disclose your material connection to UNYFO, INC. in every promotional piece — posts, videos, emails, reviews, or any other content — before or near the referral link.

Acceptable disclosures include:

  • "I earn a commission if you subscribe through my link."
  • "This is a sponsored/affiliate link — I may receive compensation."
  • "Affiliate link — I get a small commission at no extra cost to you."

The disclosure must be placed where viewers will see it before clicking the link — not buried at the bottom of a long post or in a terms page. This requirement is based on FTC Endorsement Guides.

5. Prohibited Promotion Methods

Affiliates may not:

  • Make false, misleading, or unsubstantiated claims about the Service.
  • Promise specific employment outcomes (e.g., "guaranteed job", "100% success rate").
  • Bid on branded keywords (e.g., "Career Copilot", "careercopilotai") in paid search advertising without prior written approval.
  • Send unsolicited bulk email (spam) using the referral link.
  • Use cookie stuffing, forced clicks, or other fraudulent traffic methods.
  • Promote the Service on platforms that prohibit affiliate promotions.
  • Impersonate UNYFO, INC. or create websites/accounts that appear to be official Company pages.

6. Approval and Termination

  • Participation requires approval. UNYFO, INC. may deny or revoke affiliate status at its discretion.
  • Either party may terminate this Agreement at any time with written notice.
  • Upon termination, you will receive commissions earned up to the termination date, provided no policy violations are found.
  • Violations of this Agreement — especially the FTC disclosure requirement or prohibited promotion methods — may result in immediate termination and forfeiture of unpaid commissions.

7. Relationship of the Parties

Affiliates are independent contractors, not employees or agents of UNYFO, INC. You have no authority to bind UNYFO, INC. to any obligation or represent yourself as an employee or official representative.

8. Limitation of Liability

UNYFO, INC. is not liable for any indirect, incidental, or consequential damages arising from your participation in the affiliate program. Our total liability to you shall not exceed the commissions paid to you in the 3 months preceding a claim.

9. Changes to This Agreement

We may update this Agreement at any time. We will notify active Affiliates by email at least 14 days before material changes take effect. Continued participation after that date constitutes acceptance.

10. Governing Law

This Agreement is governed by the laws of the State of Delaware, USA.
